1. Objects
The Club will be called the "Midshires Bearded Collie Club". Its object will be to promote and protect the interests of Bearded Collies and owners, breeders and exhibitors of Bearded Collies particularly in the area covered by the Club.
2. Officers and Committee
A. The Club Officers will be President, Chairman, Vice Chairman, Treasurer, Secretary, Membership Secretary in addition to a Committee of eight members. Officers and Committee Members will be elected, when necessary by postal ballot of all paid up members prior to the Annual General Meeting each year. the result of the ballot will be announced at the Annual General Meeting and those elected will take office from the end of that meeting.
B. The Chairman and Vice Chairman will be elected for a term of two years in alternate years. The Treasurer and Secretary will be elected for a term of two years in alternate years, the terms of the Chairman and Treasurer running concurrently. The President and the Membership Secretary will be elected for a term of three years. Committee Members will be elected for a term of two years, and four will retire annually. Retiring Officers and Committee Members will be eligible for re-election.
C. No person whilst an un-discharged bankrupt may serve on the Committee of the Club or hold any other office or appointment within a Kennel Club Registered Society.
3. Committee voting rights/co-option to committee
The management of the Club will be in the hands of the Officers and Committee. All Officers and Committee Members will have full voting rights except the President and Chairman at any meetings, the latter having a casting vote only. A quorum for committee meetings will be eight members of the Committee, including at least three Officers having full voting rights.
The Committee will have the power to co-opt members on to the committee in the event of positions becoming vacant between annual ballots but those co-opted will hold office only until the next annual ballot. No individual who has been a member for less than one year before the closing date for nomination for a ballot may be elected to the Committee.
4. Number and residency of members
The number of members is unlimited and membership will be by application to the Membership Secretary (subject to any rules or decisions made by the Kennel Club).
5. Members' voting rights
Each member will be entitled to one vote two calendar months after the membership is accepted by the Membership Secretary. Joint members will be entitled to one vote for each of the two individuals. Junior members will be accepted between six and eighteen years of age but will not have voting rights in postal ballots or at Special or Annual General Meetings.
6. Property
The property of the /club will be vested in the Committee. A General Meeting will be called in the event of the Club ceasing to exist, to decide on the disposal of the Club's assets and the outcome of the meeting will be notified to the Kennel Club.
7. Accounts
Banking Accounts will be held in the name of the Club at a recognised banking institution into which all revenue of the club will be paid and from which withdrawal will only be made on the signatures of the Treasurer and one other Officer of the Club except that the Treasurer is not the partner of or related to the other Officer. Accounts will be certified annually either by one qualified accountant or two unqualified individuals with accountancy experience and presented to the members at the Annual General Meeting. The account will include an itemised breakdown of memberships at the end of the financial year.
If the Club is wound up or ceases to be a Registered Society under the Kennel Club Regulations for the Registration and Maintenance of Title of Societies a final statement of audited accounts with a record of the disposal of the property of the Club shall be forwarded to the Kennel Club within six months and the persons names as the Officers and the Committee of the Club on the last return furnished to the Kennel Club will be held responsible by the Kennel Club for the proper winding up of the Club.
8. Subscriptions
The annual subscription will be such an amount as agreed by members at the Annual General Meeting and notified to the Kennel Club. The annual subscriptions are due on 1st August . No member whose subscription is unpaid by the due date is entitled to any of the privileges of membership and if the member fails to pay the outstanding subscription within two calendar months of the due date, their name will be removed from the register of members. Acceptance back on to the register will be dependent upon a new application and payment of arrears or a joining fee.
9. Suspension of membership
Any Member shall be suspended under Kennel Club rule A42j(4) and/or any Member whose dog(s) is/are disqualified under Kennel Club rule A42(j)8 shall ipso facto cease to be a member of the Club for the duration of the suspension and/or disqualification.
If the conduct of any Member shall, in the opinion of the Committee of the Club be injurious or likely to be injurious to the character or interests of the Club, the Committee of the Club may, at a meeting the notice convening which includes as an object the consideration of the conduct of the Member, determine that a Special General Meeting of the Club shall be called for the purpose a resolution to expel him/her.
Notice of the Special General Meeting shall be sent to the accused Member giving particulars of the complaint and advising the place, date and hour of the Meeting that he/she may attend and offer an explanation. If, at the Meeting, a resolution to expel is passed by a two thirds majority of the Members present and voting, his/her name shall forthwith be erased from the list of Members, and he/she shall thereupon cease for all purposes to be a member of the Club except that he/she may, within two calendar months from the date of such Meeting, appeal to the Kennel Club upon and subject to such condition as the Kennel Club may impose.
If the Club expels any member of discreditable conduct in connection with dogs, dog shows, trials or competitions, the Club will report the matter in writing to the Kennel Club within seven days and supply any particulars required by the Kennel Club.
10. Financial Year
The financial year of the Club will be from the 1st August to the 31st July. The Annual General Meeting will be held before 30th November.
11. Annual, General and Special Meetings
A. The Annual General Meeting will be held to receive the report of the Committee and the Balance Sheet and to discuss any resolution duly placed on the Agenda of which prior notice has been given to the Secretary. The results of postal ballots will be announced. No other business will be transacted with the exception of routine matters or those which, in the option of the Chairman of the meeting, are urgent and essential. One calendar month's notice will be given of the Meeting delivered by post or email to all members. Items for inclusion on the agenda will be given to the Secretary not less than fourteen days prior to the date of the meeting. The Agenda will be circulated at the meeting. B. A Special General Meeting will be summoned by the Secretary if more than twenty per cent* of members send signed requisitions stating the subject to be discussed and requesting a Special General Meeting. One calendar month's notice will be given of a Special General Meeting by post to all members. (* the twenty per cent will be calculated by reference to the total membership at the end of the last finance year as stated in the Balance Sheet).
12. Alteration of Rules
The Rules of the Club will not be altered except at a General Meeting, the Agenda for which contains specific proposals to amend the Rules. Any proposed alteration to the Rules will not be brought into effect until the Kennel Club has been advised of and has approved the alteration.
13. K.C. Fees
The Officers acknowledge that during the month of January each year, Maintenance of Title fee will be forwarded to the Kennel Club whether by the Secretary or by direct debit for continuation of registration and that by 31st July each year, other returns, as stipulated in Kennel Club Regulations for the Registration and Maintenance of Title of Societies and Breed Council and the Affiliation of Agricultural Societies and Municipal Authorities will be forwarded to the Kennel Club.
The Officials also acknowledge their duty to inform the Kennel Club of any charges of Secretary of the Club which may occur during the course of the year.
14. Disputes
The Kennel Club will be the final court of appeal in all matters of dispute.
15. Federation
The Club will not join any Federation of Societies or Clubs.
16. Members Lists
The Club must send a list of members and their addresses to the Kennel Club with the Club's Annual Returns and will make an up to date list of members available for inspection, if so requested, by the members of the Club or by the Kennel Club.
17. Judges Lists
The Club acknowledges that it is required to produce a list of judges each year which must be submitted to the Kennel Club as part of the Club's Annual returns. the Judges List should be divided into five parts namely A1, A2, A3, B and C.
A1 List - Must indicate persons whom the Club would support and who have previously been approved by the Kennel Club and have awarded Challenge Certificates in the Breed.
A2 List - Must indicate persons whom the Club would support to award Challenge Certificates and who have been approved by the Kennel Club to do so.
A3 List - Must indicate persons whom the Club would support to award Challenge Certificates in the Breed but who, as yet, have not been approved by the Kennel Club.
B List - Must indicate persons the club would support to judge the Breed without Challenge Certificates.
C List - Must include all persons the Club would support in being given the opportunity to judge the breed but, who as yet, have not reached the criteria for the Open Show (B) List.
The Committee will provide minimum qualifications required for applicants for each part of the List. Membership of the Club will not be a pre-requisite for inclusion the List.
Applications will be taken by the Secretary each year and the List will be prepared by a Judges Sub-Committee comprising members of the Committee and containing a least 75% of persons who award Challenge Certificates in the Breed.
18. Area
The area covered by the Club, for the purposes of Rule 1 will be Derbyshire, Gloucestershire, Herefordshire, Worcestershire, Leicestershire, Northamptonshire, Nottinghamshire, Shropshire, Staffordshire, Warwickshire and the West Midlands.
